Terms of Service

These Terms of Service (the “Terms”) are a legally binding agreement between you and Alby Inc. (“Alby,” “TaskFuel,” “we,” “us,” or “our”). They govern your access to and use of the TaskFuel websites, including taskfuel.ai and app.taskfuel.ai, the TaskFuel account and prepaid credit service, application programming interfaces, Model Context Protocol server, command-line software, agent skills, documentation, catalog, and related services (collectively, the “Service”).

Alby Inc. is a company incorporated in the United States, with its registered office at 8 The Green STE A, Dover, Delaware 19901, United States, and entered in the corporate register maintained by the Delaware Division of Corporations.

By creating an account, connecting an agent or application, purchasing or using credits, calling a third-party service through TaskFuel, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and authority

You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into these Terms. If you use the Service for a company or another organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.

You may not use the Service if applicable law prohibits you from doing so. You represent that you are not located in, ordinarily resident in, or organized under the laws of a country or territory subject to comprehensive United States sanctions, and that you are not subject to applicable sanctions or export-control restrictions.

2. What TaskFuel does

TaskFuel lets authenticated users and their authorized agents discover and call selected third-party online tools and APIs using a prepaid balance denominated in United States dollars. TaskFuel acts as a technical access and payment facilitator. For a paid call, TaskFuel sends the request to the selected third-party provider, handles the provider payment, and deducts the applicable amount from your TaskFuel balance.

A third-party call may do more than retrieve information. Depending on the selected tool and request, it may generate or publish content, send a communication, deploy code, create a resource, initiate a transaction, or modify or delete data. You are responsible for reviewing the requested action and its parameters before authorizing it. After a request has been sent to a provider, it may not be possible for Alby to cancel or reverse the provider action.

The Service is not an open proxy. We select the providers and destinations that are available through TaskFuel, and we may add, remove, suspend, or change them at any time. Catalog descriptions, example uses, provider availability, and indicative prices may change and may not reflect live conditions. The price shown or quoted for the specific request is the relevant price for that request.

TaskFuel credits are limited-use service credits. They are not a bank deposit, payment account, security, crypto-asset, legal tender, cash equivalent, or other financial product. They do not earn interest and cannot be withdrawn, transferred between users, sold, exchanged, or redeemed for money, except where section 5.2 or mandatory law requires a refund.

3. Accounts, connections, and security

You must provide accurate and current account information. You are responsible for activity performed through your account, API keys, connected agents, OAuth or MCP connections, command-line clients, and other credentials, except to the extent applicable law provides otherwise.

Keep your credentials confidential. Do not publish, sell, transfer, or share an API key with an unauthorized person. You must promptly revoke any credential or connection that is lost, exposed, or no longer needed, and notify us at [email protected] if you believe your account or balance has been used without authorization.

TaskFuel may allow you to connect an AI agent, application, or other client to your account. A connected client may be able to view your account email and balance and spend your balance on third-party calls. By approving a connection or giving a client an API key, you authorize that client to exercise the permissions shown to you until you revoke the connection or key. You are responsible for configuring and supervising your agents and applications, reviewing proposed calls where appropriate, setting available spending controls, and ensuring that they act only within your authority.

We may impose account, call, balance, rate, geographic, or other limits. You may not create multiple accounts, misstate identity information, or use automation to obtain promotional credits or avoid a limit.

4. Credits, prices, fees, and taxes

4.1 Promotional credits

We may provide free or promotional credits. Promotional credits have no cash value, are non-transferable, and may be subject to eligibility rules, usage limits, expiration dates, or other conditions disclosed with the promotion. We may change or end a promotion at any time. We may cancel promotional credits obtained through fraud, abuse, duplicate accounts, or a violation of these Terms.

4.2 Purchased credits

You may be able to purchase TaskFuel credits in the amounts and through the payment methods shown in the Service. Card payments are processed by a third-party payment processor. Your use of that payment method may also be subject to the processor’s terms and privacy notice.

Purchased credits are added after we receive confirmation of successful payment. You authorize us and our payment processor to charge the credit amount you select, together with any applicable top-up fee, taxes, or other charges disclosed at checkout.

4.3 Per-call prices and top-up fees

Third-party tools generally charge per call. Before a paid call, TaskFuel or the connected client may show or obtain a quote for the specific request. A quote may expire or change if the request, provider price, market conditions, taxes, or other relevant circumstances change. The amount deducted from your balance for a chargeable provider call is the price the provider charges for that call. A TaskFuel top-up fee is not added to each provider call.

We may charge a fee when you purchase credits (a “Top-Up Fee”). Any applicable Top-Up Fee will be shown at checkout and charged in addition to the amount of credits you select. The Top-Up Fee does not increase your TaskFuel credit balance. We may change the Top-Up Fee prospectively, but a fee applies only after it has been disclosed at checkout.

Unless expressly stated otherwise, TaskFuel does not charge a recurring subscription fee. You pay by using your prepaid balance.

4.4 When a balance is charged

TaskFuel is designed to deduct credits when a provider call is successfully delivered and the provider payment is confirmed. Technical status and settlement information determine whether a call is chargeable. A call may count as successfully delivered even if you consider the result inaccurate, incomplete, low quality, unsuitable for your purpose, or less valuable than expected.

A quote request may send request data to the provider in order to obtain a live price. If an endpoint is free and does not return a payment challenge, a quote request may execute the endpoint at no charge.

Prices and balances may be recorded in fractions of one cent. Our transaction and ledger records control in the event of an arithmetic or display discrepancy, except where those records are shown to be incorrect.

4.5 Reversals and chargebacks

If a card payment is refunded, reversed, disputed, or charged back, we may remove the corresponding credits from your balance. This may create a zero or negative balance. We may suspend paid calls or the account until the balance and any related costs are resolved. Fraudulent or abusive chargebacks are a material breach of these Terms.

You are responsible for taxes, duties, levies, or similar governmental charges arising from your use of the Service, other than taxes based on our net income. We will collect taxes where we are legally required to do so.

5. Refunds and consumer rights

5.1 Completed calls are final

A completed paid call is final. Once TaskFuel has sent your request to a provider and the provider has delivered a result, that call price is spent and is not refundable, whether or not the result turned out to be useful to you. Before approving a paid call, review the provider, the request, and the quoted call price carefully.

5.2 Unspent credits

If you are a consumer and applicable law gives you a statutory right of withdrawal, you may cancel a credit purchase within the statutory period, normally 14 days from purchase, to the extent those credits are still unspent. We refund the unspent amount to the original payment method. Credits already spent on completed calls are not refundable under this section, because that service has been performed.

Apart from that right, TaskFuel credits cannot be redeemed for money, and a Top-Up Fee that has been charged is not refundable unless law requires it.

5.3 Billing and technical errors

If we determine that a billing or technical error occurred, we may correct the ledger or issue TaskFuel credits at our discretion. Such an adjustment is not an admission of liability and does not create an obligation to make similar adjustments in the future.

5.4 Failed calls

If the Service determines that a provider call failed, it will generally not deduct the call price from your TaskFuel balance. This describes the current charging design and is not a guarantee that every provider error, low-quality result, delayed result, duplicate request, or user mistake will qualify as a failed call.

5.5 Other mandatory rights

If mandatory consumer law gives you a right of withdrawal, cancellation, refund, or other remedy beyond this section, that law applies.

6. Third-party providers and services

The tools and APIs available through TaskFuel are operated by independent third-party providers. Unless we expressly say otherwise, Alby does not own, control, operate, endorse, or act as the provider of those third-party services.

Third-party services may be subject to additional terms, licenses, acceptable-use rules, privacy notices, geographic restrictions, and legal requirements. You are responsible for reviewing and complying with any provider terms presented to you or linked from the Service. These Terms govern your relationship with Alby and your use of TaskFuel. A provider’s terms govern the provider’s service to the extent applicable.

Provider names, marks, descriptions, documentation, ratings, and catalog placement are supplied for identification and discovery. They do not imply sponsorship, partnership, certification, or endorsement.

We do not guarantee that a provider will remain available, accept a request, maintain a price, meet its documentation, produce a particular result, preserve data, or comply with law. Complaints about TaskFuel billing may be sent to us. Complaints about a provider’s output, conduct, content, or service may need to be directed to that provider.

7. Your requests, data, and results

You retain any rights you have in the prompts, request bodies, files, headers, instructions, and other materials you submit through the Service (“User Data”). You grant Alby a worldwide, non-exclusive, royalty-free license to host, copy, transmit, format, process, and otherwise use User Data only as reasonably necessary to operate, secure, support, and improve the Service, comply with law, and enforce these Terms.

TaskFuel forwards relevant User Data to the third-party provider you or your authorized agent selects. Providers may process that data under their own terms and privacy notices. Do not send personal data, confidential information, trade secrets, customer data, regulated data, credentials, or other sensitive material to a provider unless you have assessed the provider, have all required rights and lawful grounds, and accept the associated risk.

You represent that you have all rights and permissions needed to submit User Data and cause it to be processed by Alby and the selected providers. You are responsible for providing legally required notices, obtaining consents, responding to data-subject requests, and complying with privacy, communications, intellectual-property, employment, consumer-protection, and sector-specific laws that apply to your use.

Results are supplied by third-party providers. Rights in a result may depend on the provider’s terms, applicable law, and the material used to generate it. Results may be inaccurate, incomplete, offensive, non-unique, or subject to third-party rights. You are responsible for reviewing results before relying on, publishing, distributing, or using them. The Service is not a storage or backup service. Save any result you need to retain.

8. Acceptable use

You may use the Service only for lawful purposes and in accordance with these Terms. You must not, and must not authorize an agent, application, or other person to:

1. violate any law, regulation, sanctions rule, court order, or third-party right;
2. infringe or misappropriate intellectual-property, privacy, publicity, confidentiality, database, or other rights;
3. engage in fraud, deception, impersonation, phishing, money laundering, unauthorized surveillance, or abusive data collection;
4. send spam, unlawful marketing, bulk messages, or automated calls without all required consent;
5. submit malware, destructive code, or content intended to exploit, disrupt, overload, probe, or gain unauthorized access to a system;
6. bypass an allowlist, price, payment, rate, security, geographic, eligibility, or usage control;
7. scrape or collect personal data without a lawful basis, required notices, and any required consent;
8. use provider results as the sole basis for decisions that create a significant legal or similarly important effect on a person, including decisions about employment, housing, credit, insurance, healthcare, or access to essential services, without appropriate human review and legal compliance;
9. use the Service or results for unlawful weapons activity, exploitation of minors, or other harmful or abusive conduct;
10. reverse engineer or attempt to extract non-public source code, credentials, payment secrets, or security mechanisms, except to the extent applicable law expressly permits;
11. resell or sublicense your TaskFuel account, or give your credentials to a person who is not acting on your behalf. Building an application on TaskFuel that serves your own end users is permitted, provided you keep control of the credential, do not expose it to those end users, and remain responsible for the calls your application makes; or
12. encourage or help anyone do any of the above.

We may investigate suspected violations and cooperate with courts, regulators, law-enforcement authorities, providers, and other third parties where legally permitted or required.

9. Feedback and ratings

You may submit ratings, reports, suggestions, or other feedback. You represent that your submission is accurate, based on genuine use where stated, does not contain secrets or unlawful material, and does not violate another person’s rights.

You grant Alby a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, translate, aggregate, and otherwise exploit feedback for any lawful purpose without compensation to you. We may moderate or remove feedback and are not required to publish or respond to it.

10. TaskFuel intellectual property and software

The Service, including its design, branding, catalog organization, documentation, and software, is owned by Alby or its licensors and is protected by intellectual-property laws. Subject to these Terms, Alby gives you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.

Some TaskFuel software or materials may be released under an open-source or other separate license. That separate license governs the materials to which it applies. These Terms continue to govern the hosted Service, your account, credits, and third-party calls.

TaskFuel and its logos are marks of Alby. Third-party marks belong to their respective owners. No license to use a mark is granted except as necessary to identify the Service or provider in an authorized integration.

11. Privacy and communications

Our Privacy Policy describes what personal data we collect, the legal bases we rely on, who we share it with, and the rights you have. We process personal data as reasonably necessary to operate, secure, support, and improve the Service, comply with law, and enforce these Terms. By selecting and calling a third-party provider, you instruct us to transmit the relevant request data to that provider.

We may send service, security, transaction, legal, and account communications electronically. You agree that electronic notices satisfy legal writing requirements to the extent permitted by law. Marketing communications, if any, remain subject to applicable consent and unsubscribe requirements.

12. Suspension, termination, and account closure

You may stop using the Service at any time. To request account closure, contact [email protected]. Before closing an account, revoke active credentials and connections and use any credits you wish to use. Unused credits are handled under Section 5 and applicable law.

We may limit, suspend, or terminate access immediately if we reasonably believe that:

1. you breached these Terms or provider terms;
2. your account, credential, agent, or integration creates a security, fraud, legal, payment, or operational risk;
3. your use may harm Alby, a provider, another user, or a third party;
4. a payment is overdue, reversed, disputed, or fraudulent;
5. we must act to comply with law or a request from a competent authority; or
6. continuing to provide the Service is no longer commercially or technically practical.

Where reasonably practicable, we will provide notice and an opportunity to cure. We may act without advance notice in urgent cases.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including provisions concerning payment obligations, third-party services, ownership, feedback licenses, disclaimers, liability, indemnification, governing law, and disputes.

13. Changes and availability

We may modify, update, suspend, or discontinue any part of the Service. We do not promise that any provider, feature, protocol, client, price, promotion, credit amount, limit, or integration will remain available.

We may update these Terms for legal, security, operational, or product reasons. We will post the updated Terms and revise the effective date. If a change materially reduces your rights or increases your obligations, we will provide reasonable advance notice by email or through the Service when required by law. Changes apply prospectively. By continuing to use the Service after updated Terms take effect, you accept them. If you do not agree, you must stop using the Service.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ALBY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE OR ANY THIRD-PARTY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, OR SUITABLE FOR YOUR PURPOSE, OR THAT A PROVIDER WILL DELIVER A RESULT OF ANY PARTICULAR QUALITY. QUOTES, CATALOG INFORMATION, RATINGS, AND PROVIDER DOCUMENTATION MAY BE INCOMPLETE OR OUTDATED.

TASKFUEL DOES NOT PROVIDE LEGAL, TAX, MEDICAL, FINANCIAL, INVESTMENT, EMPLOYMENT, CREDIT, OR OTHER PROFESSIONAL ADVICE. PROVIDER OUTPUTS AND AI-GENERATED RESULTS MAY BE WRONG. OBTAIN QUALIFIED ADVICE AND PERFORM APPROPRIATE HUMAN REVIEW BEFORE MAKING IMPORTANT DECISIONS.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALBY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, CREDITS, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, THIRD-PARTY SERVICES, PROVIDER RESULTS, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALBY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ALBY FOR TASKFUEL DURING THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited, including liability for fraud, willful misconduct, gross negligence where it cannot be excluded, death or personal injury caused by negligence where applicable, or amounts incorrectly debited from your TaskFuel balance.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Alby and its directors, officers, employees, contractors, affiliates, and licensors from third-party claims, damages, judgments, losses, liabilities, penalties, costs, and reasonable legal fees arising from or related to your User Data, your use of the Service or provider results, your violation of these Terms or provider terms, or your infringement of another person’s rights.

If you are a consumer, this Section applies only to the extent permitted by mandatory consumer law. Alby will give you reasonable notice of a covered claim and may control its defense and settlement. You may not settle a claim in a way that admits fault by or imposes obligations on Alby without our written consent.

17. Governing law and disputes

17.1 If you use the Service for business purposes

These Terms are governed by the laws of the State of Delaware and the federal law of the United States, without regard to conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or related to these Terms or the Service, and you and Alby consent to personal jurisdiction and venue there.

17.2 If you are a consumer

Nothing in these Terms deprives you of the protection of the mandatory law of the country where you live. Where that law gives you rights that these Terms reduce or remove, that law applies instead.

You may bring proceedings against Alby in the courts of the country where you live, or in Delaware, whichever you prefer. Alby will bring proceedings against you only in the courts of the country where you live, unless mandatory law allows otherwise.

17.3 Before either of us files

Whether or not you are a consumer, please contact [email protected] first so we can try to resolve the issue. This does not limit your right to go to court.

18. General terms

These Terms and any additional terms expressly presented for a feature constitute the entire agreement between you and Alby concerning the Service. If additional feature terms conflict with these Terms, the additional terms control for that feature.

You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, financing, reorganization, sale of assets, or transfer of the Service.

Our failure to enforce a provision is not a waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, internet or utility failures, cyberattacks, provider outages, blockchain or payment-network failures, government action, or changes in law.

These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and Alby. Headings are for convenience only.
